Mats Hovland Vikse
Mats Hovland Vikse was appointed Chief Executive Officer in January 2023. He joined AutoStore in 2017 as Chief Strategy Officer and later on took on the role of Chief Revenue Officer in 2021. Before joining AutoStore, he held various positions at Aker Solutions (2010–2014) and served as a senior advisor at MHWirth (2014–2017).
Vikse holds a bachelor's degree in Economics and Business Administration from BI Norwegian Business School and a master's degree in Applied Finance from the University of Stavanger. He is a Norwegian citizen, currently residing in Norway.

Paul Harrison
Mr. Harrison was appointed as Chief Financial Officer (CFO) of AutoStore in October 2023. Prior to this, Mr. Harrison held the position as Chief Operating Officer at Ascential plc, and as the CFO of Just Eat plc. He served as the CFO of The Sage Group plc from 2000 to 2013. In addition, he serves on the Board as an Independent Director of FTSE 250 recruitment business; PageGroup plc.
Mr. Harrison is a Chartered Accountant, fellow of the institute of Chartered Accountants in England and Wales, and Honours in Business at Manchester Metropolitan University. He is a UK citizen, currently residing in UK.

Carlos Fernandez
Carlos Fernandez was appointed as Chief Solutions Officer as of June 2024. Prior to this, he has held various positions at AutoStore, including Chief Product Officer, Director System Design, Sales Engineer, Project Engineer and Service Engineer. Fernandez has also held the position as Field Application Engineer Support at SILICA, and served as a board member in charge of treasury at SATELEC in the period from September 2007 to September 2009.
Fernandez holds an Executive MBA from the IESE Business School – University of Navarra, a Master of Science, Electrical and Computer Engineering from the Illinois Institute of Technology and a degree in telecommunication engineering from the Universidad Politécnica de Madrid. He is a Spanish citizen, currently residing in Spain.

Israel Losada Salvador
Israel Losada Salvador was appointed as Chief Operating Officer at AutoStore in June 2022. Prior to this, he held the position as Chief Executive Officer at NorSun AS, Chief Operating Officer and Chief Sales Officer at Kitron AS, Seismic Product Group Supply Chain Manager at Schlumberger, General Manager at Fjord Instruments (Schlumberger), General Manager at Lasalle (Schlumberger), Manufacturing Metier Manager Russia at Schlumberger, Q-Land Seismic R&D Manager at Schlumberger and Manufacturing Engineer at Schlumberger
Mr. Losada Salvador holds a MSc in Industrial Engineering from the Polytechnic University of Valencia (Spain) and Master in International Business from NHH (Norway. He is a Spanish citizen, currently residing in Norway.

Jenny S. Hovda
Jenny Hovda was appointed General Counsel at AutoStore in February 2022. Prior to this, from 2012 to 2022, she served in various roles of progressive responsibility at Bull & Co., including Attorney, Partner, Head of IP & Technology, and Board Member. During the same 10-year period, Hovda served concurrent roles as Legal Counsel IPR at Stokke AS (2014 - 2015) and Legal Advisor at Consumer Authority (2011 - 2012).
Hovda holds a Master of Laws degree from the University of Oslo. She is a Norwegian citizen, currently residing in Norway.

Keith White
Keith White was appointed Chief Commercial Officer of AutoStore in November 2024. Prior to this, White served as Executive Vice President and General Manager at Hewlett Packard Enterprise (HPE GreenLake), and as Vice President and General Manager at Microsoft (Microsoft Azure).
White holds a BA in Business and Economics from the University of Puget Sound. He is a US citizen and resides in the US.
Parth Joshi
Mr. Joshi joined AutoStore June 2024 as Chief Product Officer. Before joining AutoStore, Joshi served as the Chief Product & Technology Officer at Hexagon, responsible for Business Unit P&L across product, R&D, strategy, and operational execution. Before joining Hexagon, Joshi held executive roles at Eaton and Signify, where he was responsible for business units focused on software, hardware, and services for global customers. Joshi´s earlier career at Cisco Systems and Broadcom involved leading R&D and program management for connected home business units.
Joshi holds a Bachelor of Science in Electrical Engineering from Georgia Institute of Technology and a Master in Business Administration from Strayer University. He is a US citizen, currently residing in US.
Bendik Førre
Bendik Førre was appointed Chief Strategy Officer in January 2023, after joining the company in 2022 as Director of Strategy. From 2020 to 2022, he served as Chief Financial Officer at BAS Maskinutleie, where he also led strategy, product, and supply chain operations. Prior to this, he held various roles within management consultancy, strategy, and finance.
Førre holds both a bachelor's and master's degree from the Norwegian School of Economics (NHH), including semesters at the University of Waikato and the University of Buenos Aires. He is a Norwegian citizen, currently residing in Norway.

Jim Carlisle
Co-Chair of the Board of Directors at AutoStore, has been with Thomas H. Lee Partners for over 20 years. He serves as Head of the Technology & Business Solutions Vertical and leads the firm’s Automation Fund. Carlisle holds board positions across a variety of companies in diverse industries. He earned an MBA from Harvard Business School and a bachelor's degree in Operations Research from Princeton University.
Carlisle is a U.S. citizen and resides outside of Boston, Massachusetts.

Vikas J. Parekh
Vikas J. Parekh serves as Co-Chair of the Board of Directors at AutoStore. He is a Managing Partner at SoftBank Investment Advisers, where he focuses on investments in automation, enterprise software, and emerging technologies.
Prior to joining SoftBank, Parekh worked in private equity at KKR and in consulting at the Boston Consulting Group. He holds an MBA with highest honors from Harvard Business School, as well as a BS in Electrical Engineering and an MS in Electrical & Computer Engineering from the Georgia Institute of Technology.
Parekh is a U.S. citizen and resides in San Francisco, California.

Andreas Hansson
Andreas Hansson is a board professional and investor. He previously served as Managing Director at SoftBank Management, an affiliate of SoftBank, and currently holds board positions in several technology companies. Hansson earned an MSc in Computer Science and Engineering from Lund University and a PhD in Electrical Engineering from Eindhoven University of Technology.
He is a citizen of Sweden and the UK, currently residing in Germany.

Kjersti Wiklund
Kjersti Wiklund is currently a Non-Executive Director of Nordea, the leading Nordic financial services group, and UK-listed high precision measurement systems firm Spectris plc as well as Evelyn Partners, a tax-, accounting- and wealth advisory firm. She has held several senior leadership roles in a variety of countries, including Director, Group Technology Operations of Vodafone, Deputy Chief Executive and Chief Technology Officer of Kyivstar in Ukraine, Chief Operating Officer of VimpelCom Russia, Executive Vice President and Chief Technology Officer of Digi Telecommunications in Malaysia and Chief Information Officer at Telenor in Norway. Wiklund holds a Master of Science, Electronic Engineering from Chalmers University of Technology and a Master of Business Management from BI. Norwegian School of Management.

Sumer Juneja
Sumer Juneja is a Managing Partner and Head of EMEA & India at SoftBank Investment Advisers. He joined the firm in 2018 to establish its local investment presence in India and now leads operations across the EMEA region and India. Juneja has invested in growth-stage technology companies across a range of sectors.
Prior to joining SoftBank, he was a Partner at Norwest Venture Partners, and earlier in his career, he was part of Goldman Sachs’ Asian Special Situations Group. He holds a Bachelor of Science degree in Politics and Economics from the London School of Economics.

Angela Du
Angela Du is a Partner at SoftBank Investment Advisors. She focuses on investments in automation, consumer, and emerging technologies. Prior to joining SoftBank, Du worked in public equities at Parnassus Investments, private equity at TPG Capital, and investment banking at Goldman Sachs. She holds an MBA from The Wharton School, as well as a Bachelor of Science in Management Science and Engineering from Stanford University.

Viveka Ekberg
Viveka Ekberg brings extensive experience as a Chair and Board member across both listed and unlisted companies, as well as foundations. Ekberg holds an MSc in Business from the Stockholm School of Economics.

Nomination Committee
The Nomination committee nominates candidates for the election of shareholder-elect board members, including the chairperson of the board of directors. The Nomination Committee’s responsibility is that the board of directors should be composed in such a manner that the interests of the shareholders and the Company's need for collective skill, expertise and diversity are maintained. The Nomination Committee also proposes remunerations of the directors at the Annual General Meeting.
The Committee is elected by the Annual General Meeting and consists of 2 to 3 members. The majority of the members shall be independent from the board of directors and the executive management.
The Company intends to appoint a nomination committee at the 2022 annual general meeting of the Company.

Corporate Governance Policy
AutoStore™ considers good corporate governance to be a prerequisite for Value creation, trust from stakeholders, and access to capital.
In order to secure sound and sustainable corporate governance, it is important that the Company ensures good and healthy business practices, reliable financial reporting, and an environment of compliance with applicable legislation and regulations across the Group structure.
The Company has adopted and implemented a corporate governance regime, which was effective from the date the listing application was sent to the Oslo Stock Exchange (October 11, 2021). The corporate governance policy is based on, and to a large extent in compliance with, the Corporate Governance Code. The corporate governance policy has the following deviations from the Corporate Governance Code:
Deviation from section 2 "Business": In accordance with common practice for Bermuda exempted companies, the objectives of the Company are not specifically described in the Company's Memorandum of Association, being are wider and more extensive than recommended by the Corporate Governance Code.
Deviation from section 3 "Equity and dividends": Pursuant to Bermuda law and in accordance with common practice for Bermuda exempted companies, the Board of Directors may issue any authorized but unissued shares in the Company, subject to the Bye-laws and any resolution of the Company's shareholders to the contrary. Further the Company may purchase its own shares for cancellation or acquire them as treasury shares, in accordance with the Bermuda Companies Act. The powers of the Board of Directors to issue shares or purchase shares (for cancellation or to be held as treasury shares) are neither limited to specific purposes nor to a specified period as recommended in the Corporate Governance Code.
Deviation from section 8 "Board of directors: composition and independence": Pursuant to the Bye-laws, the chairman of the Board of Directors will be elected by the Board of Directors, not by the general meeting.

IR Policy
This investor relations policy (the "IR Policy") applies to AutoStore Holdings Ltd. ("AutoStore" or the "Company" and together with its subsidiaries, the "Group") and is based on Oslo Børs' recommendations for companies listed on Oslo Børs, in particular the Oslo Børs Code of Practice for IR, last amended on 1 March 2021.
1. MISSION
Investor relations shall provide the public with accurate, comprehensive and timely information to form a good basis for making decisions related to valuation and trade of the AutoStore share. The aim of providing such information is to reduce investors' risk and the volatility of the AutoStore share, and contributing to a pricing of the share that reflects the Company's underlying values and future prospects.
2. EQUAL INFORMATION
AutoStore's main communication channels are stock exchange releases, press releases and its own web pages (https://www.autostoresystem.com/) in order to secure that the same information is made available to all audiences simultaneously. Although AutoStore holds regular meetings for analysts, investors, journalists and employees, all material new information is first published on the stock exchange news platform www.newsweb.no and on AutoStore's' web pages.
AutoStore will provide a consistent level of information regardless of whether the news is positive or negative.
3. AUTHORISATIONS
AutoStore's spokespersons to the financial markets (investors, analysts and financial media) are any individual within the company that has been authorized by the chief executive officer. Questions from investors and financial analysts to other AutoStore employees shall be referred to the chief executive officer or whomever the chief executive officer appoints.
4. REPORTING DATES AND SILENT PERIODS
AutoStore publishes quarterly financial results according to its financial calendar. The financial calendar is published annually on AutoStore's web page and to the stock exchange. Ahead of announcing its quarterly results, AutoStore exerts caution with regards to information communicated externally, and the Company's representatives will during this period refrain from discussing the Company’s performance and prospects with analysts, investors, media or others, to minimize the risk of unequal information in the marketplace. The so-called "silent period" lasts for the last 14 days before a quarterly report is published.
5. GUIDING
The Company operates in accordance with a set of financial targets, established by the Company's board of directors. These financial targets govern the Group's operations within a defined strategic period. Other than these financial targets, the Company shall as a principle rule not publish specific guiding on the Group's future financial results. Any exceptional deviation from this principle rule shall be approved by the board of directors, and specifically communicated to the financial market.
6. COMPLIANCE
All disclosure, communication and reporting shall be in compliance with the applicable laws and regulations, in particular the Norwegian Securities Trading Act (as applicable), regulation (EU) No. 596/2014 on market abuse, as implemented in Norway in accordance with section 3-1 of the Securities Trading Act as of 1 March 2021 and as amended from time to time (MAR), the Norwegian Accounting Act and the Rule Books. The Company shall also comply with the relevant recommendations and market practices for reporting financial and other IR information. AutoStore complies with the Oslo Børs Code of Practice for IR of 1 March 2021.
